These Terms of Service (“Terms”) govern your access to and use of SEOSpectator (“the Service”, “we”, “us”, “our”) operated by SEOSpectator. By using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using SEOSpectator, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not use the Service.

2. Description of the Service

SEOSpectator provides an AI-coached SEO audit platform that analyzes websites for technical, on-page, schema, and contextual search engine optimization factors. The Service includes a Free tier and paid subscription plans (Pro, Team, Business, Enterprise).

3. Account Registration

To access certain features, you must create an account using a valid email address. You are responsible for:

Maintaining the confidentiality of your account credentials
All activity that occurs under your account
Notifying us immediately of any unauthorized use
Providing accurate, current, and complete information

4. Subscription Plans and Billing

Paid plans are billed in advance on a monthly or annual basis. By subscribing, you authorize us (and our payment processors, Cashfree for India and PayPal for international) to charge your chosen payment method at the start of each billing period.

Plan changes

You may upgrade, downgrade, or cancel at any time from your account dashboard. Plan changes take effect at the next billing cycle, except upgrades which take effect immediately with prorated charging.

Failed payments

If a payment fails, we will retry up to 3 times over 7 days. If all retries fail, your account will be downgraded to the Free tier.

5. Acceptable Use

You agree NOT to:

Audit websites you do not own or have explicit permission to audit at scale
Use the Service to scrape, harvest, or collect data from third-party sites in violation of their Terms of Service
Reverse engineer, decompile, or attempt to extract our source code
Resell or redistribute the Service without a valid Agency or Business plan with white-label rights
Use the Service for any illegal purpose or to violate any local, state, national, or international law
Interfere with or disrupt the integrity or performance of the Service
Attempt to gain unauthorized access to other user accounts or our systems

6. Intellectual Property

The Service, including all software, content, designs, and AI prompts, is owned by SEOSpectator and protected by international copyright, trademark, and other intellectual property laws. You retain ownership of any URLs, audit data, and content you submit.

7. AI Coach Service

The AI Coach feature uses third-party large language models (currently Anthropic). AI-generated suggestions are recommendations only — you are responsible for evaluating their accuracy and appropriateness before implementing. We do not warrant that AI suggestions are error-free or will produce specific SEO ranking outcomes.

8. Data Privacy

Your use of the Service is also governed by our Privacy Policy. We do not train AI models on your audit data or share your account information with third parties beyond what is necessary to deliver the Service.

9. Service Availability

We strive for 99.9% uptime (99.95% on Business and Enterprise plans with formal SLA). However, we do not guarantee uninterrupted access. Scheduled maintenance will be announced at least 48 hours in advance when feasible.

10. Limitation of Liability

To the maximum extent permitted by law, SEOSpectator shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Termination

You may cancel your subscription at any time. We reserve the right to suspend or terminate your account for violations of these Terms, with notice where reasonable. Upon termination, your right to use the Service ceases immediately. Refunds for cancellation are governed by our Refund Policy.

12. Changes to Terms

We may update these Terms periodically. Material changes will be communicated via email at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of India. Any disputes shall be resolved through arbitration in Bangalore, India, in accordance with the Arbitration and Conciliation Act, 1996. For users outside India, you may have additional rights under your local consumer-protection laws.
